Terms and Conditions

1. Agreement

These Terms are an agreement between you and Auction Studio ("we", "us") for your use of auctionstudio.app and the Auction Studio app (the "Service"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you use the Service for a company, you confirm you may accept these Terms for it.

2. Your account

• You must be 18 or older and give accurate details, including a working email address, which you must verify.
• Keep your password private. You're responsible for activity on your account. An account can be signed in on one device at a time; signing in on another device signs out the first.
• If you invite team members, you're responsible for what they do in your account and for the permissions you give them. Lots your team members add to your auctions use your plan's allowance.

3. Plans, payments and renewals

• Free: 25 new lots each month, at no charge.
• Pay as you go: you buy packs of lot credits. Each new lot uses one credit. Credits don't expire and aren't refundable, except where the law requires.
• Monthly plans renew automatically every month, and your card is charged at the start of each billing period until you cancel. You can cancel at any time under My Subscription, then Manage billing. Your plan stays active until the end of the period you've paid for and then moves to Free. We don't give refunds for partial months.
• Upgrades take effect right away, and Stripe charges or credits the difference for the rest of the month. Moving to a lower plan takes effect at the end of the current period.
• If a payment fails, we'll let you know and Stripe will try again. If it still can't be collected, your account moves to Free.
• Prices are shown in US dollars and may not include taxes, which are added where required. We may change prices with at least 30 days' notice; changes apply from your next billing period.
• Lot allowance: each new lot and each duplicated lot counts toward your monthly allowance or uses a credit. Deleting a lot doesn't give it back. Unused monthly lots don't carry over.

4. Your content

You own the photos, descriptions and other content you add ("Your Content"). You give us permission to store, copy, process and display Your Content only as needed to run the Service for you, including sending it to AI providers when you use AI features, and to the people you share it with.

You're responsible for Your Content. You confirm you have the right to use the photos and information you upload, and that your catalog descriptions are accurate. AI-written titles and descriptions are suggestions and can be wrong; check them before publishing. We aren't responsible for the items you sell or for how they're described.

5. Acceptable use

Don't use the Service to break the law or anyone's rights; to upload illegal, infringing, harmful or misleading content; to send spam; to try to get around the lot allowance, payments or security; to access other people's accounts or data; to overload or reverse engineer the Service; or to resell it without our permission.

6. Other platforms

Auction Studio can export catalog files for platforms such as HiBid (via Auction Flex), Proxibid, LiveAuctioneers, BidSpotter, Wavebid, BidWrangler and K-BID. These platforms belong to their owners; we're independent and not affiliated with them. Their import formats can change, so check your files before you upload them. Your use of those platforms follows their own terms.

7. Availability and backups

We work to keep the Service available and your data safe, but we can't promise it will always be uninterrupted or error-free. Photos are saved on your device first and backed up to the cloud when you're online. Please download your photos and catalogs regularly and keep your own copies of anything important.

8. Ending your account

You can stop using the Service at any time and ask us to close your account by emailing [email protected]. We may suspend or close accounts that break these Terms, don't pay, or put the Service or other users at risk. Where reasonable we'll tell you first and give you a chance to download your content.

9. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent the law allows, we don't make any promises about the Service that aren't written in these Terms, including that it will be fit for a particular purpose or that AI results will be accurate.

10. Limitation of liability

To the fullest extent the law allows, we aren't liable for indirect, incidental, special or consequential losses, or for lost profits, sales, data or goodwill. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim. Nothing in these Terms limits liability that can't be limited by law, or your rights as a consumer.

11. Indemnity

If someone makes a claim against us because of Your Content or your breach of these Terms, you'll cover our reasonable costs and losses from that claim.

12. Governing law

These Terms are governed by the laws of Manitoba and the federal laws of Canada that apply there. Disputes will be heard in the courts of Manitoba, unless the law where you live gives you the right to bring them elsewhere.

13. Changes to these Terms

We may update these Terms. We'll post the new version here with a new date and, for important changes, tell you by email or in the app at least 14 days before they take effect. If you keep using the Service after that, the new Terms apply.
